CORPORATE GOVERNANCE

Uptevia’s main governance bodies are its Board of Directors and General Management, together with its Executive Committee.

Uptevia’s governance aims to steer the company’s strategy and define all the rules governing its management and control procedures in the best possible way, while protecting the interests of its stakeholders (employees, customers, shareholders, regulators and partners).

The Board of Directors, made up of representatives of Uptevia’s two shareholders, CACEIS and BNP Paribas, has the following mandates:

  • Set the company’s strategic direction,
  • Oversee and monitor Uptevia’s performance,
  • Controlling and monitoring all company-related operations.

Uptevia’s internal governance is organised around distinct and complementary committees.

Uptevia’s Executive Management is made up of a Chief Executive Officer, a Deputy Chief Executive Officer.

The Executive Committee is made up of the General Management and 6 other members, who are Business or Support Function Directors. It meets at least once a week.

Lionel BARTHELEMY

Chief Executive Officer

 

Lionel Barthelemy joined CACEIS Corporate Trust in May 2007 as Chief Information Officer. In 2009, he was appointed Chairman of the Board of Directors of GIE Registrar. In October 2012, he was appointed Chief Operating Officer, with particular responsibility for overseeing Operations, Organisation and Information Systems. He was previously Head of Mission at the General Inspection Department of the Crédit Agricole Group from early 2002.

After starting his career at NMPP (Nouvelles Messageries de Presse Parisienne) in the Cameroon subsidiary in 1985, he joined EADS in 1987. In 1991, he joined Banque Worms as IT Project Manager, then moved to IBM France’s Banking and Finance Sector from 1997 to 1998 as Functional Architect. He joined Crédit Lyonnais in May 1998 as Project Director in the Technology and Information Systems Department.

Lionel Barthelemy is an IT and management engineer, a graduate of ISIM and a CISA (Certified Information Systems Auditor).

Anthony MARTIN

Chief Operating Officer

 

Anthony MARTIN has over 21 years of expertise in securities services and operations. Anthony joined BNP Paribas Securities Services in 2001 and has held a number of positions including business development, client relationship management, product development (Paris and Madrid), international corporate actions centralisation and sales responsibility.
He has also been Vice-Chairman of ASRAS BNP Paribas for almost 13 years.

Anthony MARTIN holds a Master’s degree in Business Administration, Analysis, Management and Financial Policy and Banking and Finance from NEOMA Business School and an MBA from the University of Deusto (Spain).

Philippe DURAND

Director of Steering and Control

 

Philippe DURAND began his career in an audit firm. He joined the Crédit Agricole Group in 1990. For 23 years, Philippe Durand contributed to company merger projects, mainly abroad, initially in Luxembourg for the Indosuez subsidiary, then in Munich for the acquisition of an activity by CACEIS. In 2018, Philippe Durand spent 18 months helping to relocate a CACEIS business to Dublin. In 2021, he will prepare the due diligence and closing for the creation of Uptevia.

Philippe DURAND has a university degree in chartered accountancy.

Philippe BOISVIEUX

Director of Organisation and Transformation

 

In 1997, having just graduated in aeronautical engineering, Philippe BOISVIEUX began his career at Capgemini as a consultant/project manager, notably on projects to implement payment solutions. In 1999, he joined a project to roll out a record-keeping solution and took charge of setting up new services. After providing project management assistance to GIE Registrar, he joined CACEIS Corporate Trust in 2005 as Head of Project Management and then Director of Information Systems. In 2019, Philippe BOISVIEUX will oversee a broad scope encompassing Organisation, Business Implementation, Billing and Products. In 2020, there will be a paradigm shift, as he takes over responsibility for the Operations Department and works with the teams to meet day-to-day operational requirements. With the creation of Uptevia in 2023, drawing on all his technical and operational experience, he was appointed Director of Organisation and Transformation.

Philippe BOISVIEUX has a degree in aeronautical engineering.

Sonia MASSEZ MOAYER

HR Director

 

With over 20 years’ experience in Human Resources, Sonia MASSEZ MOAYER began her career in the Kering Group, where she successively held the positions of Employment Lawyer at Conforama, then Human Resources Manager at Fnac. In 2012, she joined the Crédit Agricole Group as Head of HR Development for the Caisses Régionales estate agency network, before taking up a position as Head of Employee Relations at Crédit Agricole Immobilier.

Sonia MASSEZ MOAYER holds a law degree from the Université Panthéon Assas

Joël PIGEON

Head of Compliance and Investment Services

 

After a variety of experiences, Joël PIGEON joined the BNP Paribas Group in 1998 in the Advisory and Trading Department, B*capital of BNP Paribas Portzamparc as an account manager. In 2006, he joined the General Inspection Department as Internal Auditor at BNP Paribas Personal Investors, and two years later became Head of Risk and Compliance at Cortal Consors France. In 2012, Joël Pigeon became Head of Market Integrity at BNP Paribas Securities Services. In 2017, Joël was appointed Head of Compliance Control and Risk Management at BNP Paribas Retail Banking.

Joël is a graduate of the Institut d’Administration des Entreprises (IAE) in Aix-en-Provence and holds a postgraduate diploma in Financial Risk Management (GERIF).

Delphine VIMARD

General secretary

 

Delphine VIMARD has over 20 years’ experience in project management, customer relationship management and team management at BNP Paribas and in consultancy firms. She began her career with Paribas in 1999 in operational functions for a customer base of banks and brokers, before joining Altran Systèmes d’Information as a consultant. Delphine then worked for BNP Paribas Securities Services for more than 10 years for a corporate clientele in client solutions development, Client Onboarding Manager and then Account Manager positions. In 2018, Delphine joined BNP Paribas’ in-house Consulting team, where she was responsible for managing transformation programmes and carrying out consultancy and change management assignments.
At the beginning of 2023, she was appointed General Secretary of Uptevia.

Delphine VIMARD is a graduate of NEOMA Business School, Sup de Co Reims programme, and is certified in project management from ESCP Europe.

Jérémie MARTIN

Chief Operating Officer

 

Jérémie MARTIN began his professional career in 2000, first as a back office manager and then as a registrar project manager at Crédit Commercial de France (now HSBC France). In 2005, he joined BNP Paribas Securities Services as Major Client Support. Jérémie Martin then managed the Client Support, General Meetings and Client Project Management activities until 2020. He then became Director of Operations, a position he has held with Uptevia since its creation.

Having studied Mathematics and Accounting, Jérémie MARTIN also holds the BP Banque and ITB diplomas.
