The Law on Attractiveness and the obligation to broadcast General Meetings

Passed in June 2024, the Law on Attractiveness sets out a number of measures designed to make France more attractive to international investors. Among these measures, the broadcast of general meetings is a practice that is set to become permanent after increased use during the health crisis.

Following the recommendation of the Autorité des Marchés Financiers (AMF), a new article, L22-10-38-1, has been added to the French Commercial Code. This article requires shareholders’ meetings to be broadcast live and deferred. Since September 2024, this requirement has applied to companies listed on Euronext, with the exception of companies listed on Euronext Growth and Euronext Access and unlisted companies.

Implementing decree no. 2024-904 of 8 October 2024 sets out the registration and custody procedures. Among other things, it stipulates that “the recording of the meeting must be available for consultation on the company’s website no later than seven working days after the date of the meeting and for at least two years from the date it is posted online”.
The retransmission of the General Meeting is not synonymous with remote voting. This option remains at the issuer’s discretion.
